1. Introduction
This Intellectual Property & Branding Policy ("Policy") outlines the ownership, protection, and permissible use of all intellectual property ("IP") belonging to One Donate Ltd (trading as OneDonate) ("OneDonate," "we," "our," or "us"). It also defines how our brand assets, trademarks, and technology may be used by charities, corporate partners, and white-label licensees.
By engaging with OneDonate - whether as a user, charity, partner, or contractor - you agree to comply with this Policy.
2. Ownership of Intellectual Property
All intellectual property associated with OneDonate - including but not limited to:
- Brand assets: trademarks, logo, design marks, slogans, colour schemes, and brand identity.
- Software & technology: codebase, app design, user interface (UI/UX), architecture, and proprietary algorithms (including AI and analytics models).
- Content: text, graphics, illustrations, documents, videos, and written materials.
- Databases & systems: donor, charity, and transaction-related structures (excluding confidential user data protected by GDPR).
- are the exclusive property of One Donate Ltd, protected under the UK Intellectual Property Act 2014, Copyright, Designs and Patents Act 1988, and applicable international IP conventions.
Unauthorized use, reproduction, modification, or redistribution of any OneDonate intellectual property is strictly prohibited.
3. Trademarks & Branding
The following marks and assets are protected under One Donate Ltd's registered trademarks and trade dress:
- OneDonate® (wordmark)
- OneDonate logo (visual mark and variations)
- Taglines and slogans (e.g., "Making Giving Effortless," "Give Smarter, Together")
- Visual identity assets: typography, iconography, app interface colours, and associated brand imagery.
All use of OneDonate trademarks must comply with this Policy and any OneDonate Brand Guidelines issued to partners or charities.
4. Acceptable Use of OneDonate Brand Assets
4.1 For Charities
Charities listed on the OneDonate platform may:
- Display the "Donate with OneDonate" badge or logo on their website, social media, or marketing materials.
- Include links to the OneDonate app or website for donor redirection.
- Use OneDonate's approved co-branding assets in fundraising campaigns with prior written consent.
Charities must not:
- Alter, recolour, or modify the OneDonate logo or design elements.
- Use the logo or brand in a misleading way implying ownership, endorsement, or partnership beyond the approved scope.
- Use the brand in any political, discriminatory, or controversial context.
4.2 For Corporate & Sponsorship Partners
Approved partners may use OneDonate branding as outlined in their partnership agreements.
4.3 For White-Label Licensees
Where OneDonate is offered as a white-label solution, the following conditions apply:
- Licensees may customize interface colours, logos, and domain branding within the approved framework.
- The core platform technology, codebase, and analytics engine remain property of One Donate Ltd.
- Licensees are granted a limited, non-transferable, non-exclusive license to use the platform under a paid agreement.
- White-label partners must maintain all copyright notices, disclaimers, and attribution to OneDonate in system documentation.
Unauthorised modification, resale, or sublicensing of the OneDonate platform is a breach of this Policy and may result in termination of the agreement and legal action.
5. Use of Partner and Charity IP by OneDonate
OneDonate respects the intellectual property of all registered charities and partners. By participating on the platform, each charity grants OneDonate a non-exclusive, royalty-free license to:
- Display their logo, name, description, and imagery within the app, website, and promotional materials.
- Use brand references in press releases, case studies, and success stories (with consent).
Charities and partners retain full ownership of their own intellectual property.
6. Technology & Source Code Protection
The OneDonate platform is protected by:
- Copyright under the Copyright, Designs and Patents Act 1988.
- Patents (where applicable) and registered software designs.
- Access control, encryption, and audit tracking systems.
Reverse-engineering, code extraction, or technical duplication of OneDonate's platform or software is strictly prohibited.
7. Confidentiality
All technical, financial, and strategic information shared with charities, investors, or partners is confidential and must not be disclosed without written consent. This applies both during and after any engagement with OneDonate.
8. Reporting IP Misuse
Suspected misuse of OneDonate intellectual property or brand assets should be reported immediately to:

9. Enforcement & Penalties
OneDonate reserves the right to:
- Issue cease-and-desist notices to any entity misusing its IP.
- Terminate charity or partnership agreements for non-compliance.
- Seek damages, legal costs, or injunctions under UK law for IP infringement.
10. Policy Updates
This Policy may be updated periodically to reflect legal, branding, or partnership changes. The most recent version will always be published on the OneDonate website and app.
11. Governing Law
This Policy is governed by the laws of England and Wales, and any disputes arising under it shall be subject to the exclusive jurisdiction of the courts of England and Wales.
