    1. Introduction

    Welcome to OneDonate ("we," "our," or "us"). These Terms & Conditions ("Terms") govern your use of the OneDonate website, mobile application, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to comply with these Terms and our Privacy Policy, Refund Policy, and Cookie Policy.

    If you do not agree to these Terms, please do not use the Platform.

    2. About OneDonate

    One Donate Ltd (trading as OneDonate) operates as a digital intermediary between donors and verified eligible organisations, including registered charities, Community Interest Companies and approved community organisations based in England and Wales. We facilitate donations, process payments via our payment partners (e.g., Stripe), and provide digital tools to organisations for managing fundraising and analytics. OneDonate is not a charity and does not provide tax advice, financial services, or investment guidance.

    3. Eligibility

    To use the Platform:

    • You must be at least 18 years old.
    • If donating or registering on behalf of an organisation, you confirm that you have the authority to do so.
    • You agree to provide accurate, complete, and current information at all times.

    4. Charity Verification

    OneDonate facilitates fundraising and donations for verified eligible organisations, including registered charities, Community Interest Companies and approved community organisations. Organisations are verified using the relevant official register and/or supporting documentation. Gift Aid is available only to eligible organisations and donations under HMRC rules.

    OneDonate currently supports organisations based in England and Wales only. Charity verification is carried out against the Charity Commission for England and Wales register; other eligible organisations are verified using the relevant official register and/or supporting documentation.

    Charities are required to:

    • Provide valid registration details and a verified bank account.
    • Maintain compliance with UK charity law and HMRC Gift Aid requirements.
    • Authorize OneDonate to process and disburse donations through its payment partners.

    OneDonate reserves the right to suspend or remove any charity that fails verification or breaches compliance standards.

    5. Donations

    • All donations made through the Platform are voluntary and non-refundable, except as outlined in our Refund Policy.
    • Donations are processed via third-party payment providers (e.g., Stripe).
    • Donations are transferred to the charity's registered bank account in line with Stripe's standard payout schedule, which typically settles funds a number of business days after the transaction and may vary by account status and country.
    • OneDonate deducts a 3.5% platform service fee per donation to cover transaction and operational costs.
    • Stripe processing fees are additional and non-refundable.

    6. Gift Aid Declarations

    Gift Aid is processed through SwiftAid for eligible donations to eligible charities. Organisations remain responsible for reviewing the accuracy and eligibility of their records. SwiftAid’s plan, allowance, fees and submission schedule may apply.

    By opting in:

    • You confirm you are a UK taxpayer and eligible to claim Gift Aid.
    • You consent to OneDonate and SwiftAid sharing necessary personal and tax data with HMRC.

    Incorrect declarations may result in HMRC penalties; OneDonate is not liable for such cases.

    7. Refunds

    Refund requests must comply with OneDonate's Refund Policy. Refunds may be issued only in cases of duplicate payments, fraud, or technical errors, and are subject to verification by both OneDonate and the payment provider.

    8. Fees and Charges

    OneDonate may apply the following:

    • Platform Service Fee: 3.5% per transaction (custom rates may apply for corporate or white-label partners).
    • Payment Processing Fee: as charged by Stripe.
    • Core OneDonate has no subscription costs, and core CRM and marketing functionality is included in the base service. Future expanded functionality (such as advanced dashboard tools or analytics) may be offered as optional premium services, priced and agreed in advance.

    All fees are subject to review and may change with prior notice.

    9. Use of the Platform

    You agree to:

    • Use the Platform for lawful purposes only.
    • Not attempt to gain unauthorized access to OneDonate systems or data.
    • Not misuse donation features for fraud, money laundering, or other unlawful activities.

    Violation of these terms may lead to account suspension or legal action.

    10. AI-Driven Insights

    OneDonate provides charity recommendations based on your donation history, along with donation analytics and impact reports. You acknowledge and consent to anonymized data being used for such analytical purposes in compliance with the UK GDPR and Data Protection Policy.

    11. Data Protection & Privacy

    We collect and process user data in accordance with our Privacy Policy and Data Protection Policy.

    Your personal data is protected under the UK GDPR and is not sold or shared without consent.

    Sensitive payment data is handled by our FCA-regulated payment partners only.

    12. Charity Responsibilities

    Charities registered on OneDonate agree to:

    • Maintain accurate campaign and donation records.
    • Comply with all UK fundraising regulations.
    • Permit OneDonate to display their name, logo, and campaign information.
    • Honour refund requests verified through OneDonate.
    • Provide updates and impact data where possible.

    13. Intellectual Property

    All intellectual property (logo, software, UI, AI models, content) on the Platform belongs to One Donate Ltd (trading as OneDonate).

    You may not copy, distribute, or modify any content without written permission.

    14. Liability Disclaimer

    OneDonate acts only as a facilitator between donors and charities.

    We do not guarantee:

    • The success or outcome of any charitable campaign.
    • Tax relief eligibility for donors.
    • Continuous or error-free operation of the Platform.

    To the extent permitted by law, OneDonate shall not be liable for any indirect, incidental, or consequential damages.

    15. Limitation of Liability

    OneDonate's total liability for any claim arising out of or in connection with these Terms shall not exceed the total fees paid (if any) by the user within the past 12 months.

    16. Account Suspension or Termination

    We reserve the right to suspend or terminate access to the Platform for users or charities that:

    • Breach these Terms,
    • Engage in fraudulent or unlawful activity, or
    • Misuse the Platform in any way.

    17. Third-Party Services

    OneDonate integrates with third-party providers, including:

    • Payment processing: Stripe
    • Gift Aid processing: SwiftAid Ltd
    • Analytics and AI tools

    We are not responsible for errors or interruptions caused by these third parties.

    18. Amendments to Terms

    OneDonate reserves the right to amend or update these Terms at any time. Updates will be published on our website and app, with the "Effective Date" revised accordingly.

    19. Governing Law

    These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
